Terms & Conditions

Terms & Conditions

Effective Date: 18 September 2026

Welcome to Terp Topia.

These Terms & Conditions govern your access to and use of the Terp Topia website, online store, products, services, educational materials, formulation information and related services.

Please read these Terms carefully before using the website or placing an order.

By accessing our website, creating an account, submitting an order or purchasing products from Terp Topia, you acknowledge that you have read and understood these Terms and agree to be bound by them.

These Terms must be read together with our:

  • Shipping, Returns & Refund Policy;

  • Privacy Policy;

  • applicable product specifications;

  • Safety Data Sheets where applicable;

  • Certificates of Analysis where applicable; and

  • any separately agreed wholesale, commercial, credit or supply terms.

Nothing in these Terms is intended to exclude or limit any right that cannot lawfully be excluded under South African law.

ORDERS & PAYMENTS

2. Placing an Order

An order submitted through our website constitutes an offer by you to purchase the products listed in that order.

Submission of an order does not automatically mean that Terp Topia has accepted the order.

We may decline or cancel an order where reasonably necessary, including where:

  • a product is unavailable;

  • payment cannot be verified;

  • fraudulent activity is suspected;

  • there is an obvious pricing or listing error;

  • incorrect information has been supplied;

  • fulfilment would breach applicable law;

  • we cannot legally or practically deliver to the destination; or

  • circumstances beyond our reasonable control prevent fulfilment.

Where payment has already been received for an order that we cannot fulfil, the appropriate amount will be refunded.

3. Order Accuracy

Customers are responsible for reviewing their order before completing checkout.

Please ensure that the following are correct:

  • products;

  • quantities;

  • sizes;

  • delivery address;

  • billing information;

  • contact number;

  • email address; and

  • shipping method.

Once an order has entered fulfilment, changes may no longer be possible.

4. Pricing

Unless otherwise indicated, prices displayed on the website are in South African Rand (ZAR).

Prices may change without prior notice.

The price applicable to an order will normally be the price displayed when the order is submitted.

Terp Topia reserves the right to correct obvious:

  • pricing errors;

  • typographical errors;

  • technical errors;

  • promotional errors; or

  • listing errors.

If such an error materially affects an order, we may contact you before fulfilment or cancel and refund the affected portion of the order.

5. Payment

Payment must generally be received and confirmed before an order is dispatched unless Terp Topia has approved separate written credit terms.

Customers warrant that:

  • payment information supplied is accurate;

  • they are authorised to use the selected payment method; and

  • sufficient funds or authorised credit are available for the transaction.

Approved business customers may be subject to separately agreed credit terms.

Failure to comply with those credit terms may result in:

  • suspension of further supply;

  • withdrawal of credit facilities; and

  • collection action where appropriate.

SHIPPING & DELIVERY

6. Same-Day Dispatch Cut-Off

For an in-stock order to qualify for same-day dispatch, the order must be:

  • finalised;

  • fully paid;

  • accompanied by all required information; and

  • ready for fulfilment

before 12:00 midday on a business day.

Orders finalised or paid after 12:00 may only be dispatched on the following business day.

Same-day dispatch means that Terp Topia will endeavour to hand the order to the courier that day.

It does not mean same-day delivery.

Courier collection schedules and circumstances outside our reasonable control may occasionally prevent same-day dispatch despite the order having met the cut-off.

7. Courier Services

Our standard courier services include:

Overnight / Express

Estimated delivery:

1–2 business days after dispatch

Economy

Estimated delivery:

3–5 business days after dispatch

These delivery times are estimates only.

Delivery may take longer because of:

  • courier delays;

  • public holidays;

  • remote or outlying destinations;

  • weather;

  • incorrect delivery details;

  • transport disruption;

  • security restrictions; or

  • circumstances beyond Terp Topia's reasonable control.

8. Tracking

Where tracking is available, customers will normally receive courier tracking information after dispatch.

Customers should monitor tracking and notify us promptly if a shipment appears to have encountered a delivery problem.

9. Delivery Information

Customers are responsible for providing accurate and complete delivery information.

Terp Topia cannot accept responsibility for delays or additional courier charges resulting from incorrect information supplied by the customer.

Additional delivery attempts or address corrections may incur further courier charges.

RECEIPT & INSPECTION OF ORDERS

10. Customer Inspection Requirement

Customers must inspect orders promptly after delivery.

The customer must notify Terp Topia within 7 calendar days of delivery of any:

  • visible defect;

  • incorrect product;

  • incorrect quantity;

  • missing product;

  • damaged packaging;

  • courier damage;

  • obvious product inconsistency; or

  • other discrepancy reasonably identifiable upon receipt.

The courier's recorded delivery date or other proof of delivery will normally be used to calculate this period.

Claims concerning these readily identifiable issues may be declined if reported after the seven-day period.

This does not exclude rights that may apply to a genuine latent defect that could not reasonably have been identified during the initial inspection period.

11. Evidence Required for Claims

A customer making a claim may be required to provide:

  • order number;

  • product name;

  • affected quantity;

  • photographs;

  • videos;

  • serial or batch information;

  • packaging photographs;

  • details of use;

  • storage conditions;

  • filling information; and

  • any other information reasonably required to investigate the issue.

Customers should retain affected products until Terp Topia confirms that they may be discarded.

RETURNS, REFUNDS & WARRANTIES

12. Shipping, Returns & Refund Policy

All returns, defective-product claims, warranty claims and refunds are subject to our separate Shipping, Returns & Refund Policy.

That policy forms part of these Terms.

13. Returned Products Will Be Inspected

The return of a product does not automatically create an entitlement to a refund, replacement, credit or repair.

All returned products may be:

  • visually inspected;

  • functionally tested;

  • electrically tested where appropriate;

  • assessed for physical damage;

  • assessed for contamination;

  • inspected for evidence of incorrect filling;

  • tested for normal operation; and

  • compared with unused products from the same batch where appropriate.

Acceptance of goods for inspection does not constitute acceptance that the product is defective.

14. Products Found to Be Working Correctly

If Terp Topia inspects or tests a returned product and determines that it:

  • functions correctly;

  • operates within its intended specifications;

  • has no identifiable manufacturing defect; or

  • failed because of circumstances occurring after delivery,

the product will not qualify as a defective-product return.

Where legally permitted, a customer may be responsible for return or redelivery charges where an item has been returned as defective but is found to function correctly.

15. Statutory Defective-Goods Rights

Where applicable, Sections 55 and 56 of the Consumer Protection Act 68 of 2008 provide consumers with an implied warranty of quality.

Qualifying goods must be reasonably suitable for their intended purpose, of good quality, in good working order and free from defects.

Where Section 56 applies, qualifying defective goods may be returned within the statutory period and the remedies prescribed by law may apply.

This statutory protection does not constitute:

  • a change-of-mind warranty;

  • a six-month satisfaction guarantee;

  • a guarantee that consumable products will last six months;

  • an extension of an expiry date;

  • protection against normal wear or consumption;

  • protection against misuse;

  • protection against accidental damage; or

  • protection against alterations or improper handling occurring after supply.

16. Opened Consumables

Terpenes, flavour ingredients and formulation ingredients are consumable and contamination-sensitive products.

Once a container has been opened, Terp Topia can no longer independently verify:

  • whether the product has been contaminated;

  • whether material has been removed;

  • whether another substance has been added;

  • whether it has been diluted;

  • how it has been stored;

  • whether it has been exposed to excessive heat or oxygen; or

  • whether its composition has otherwise been altered.

Opened consumable products therefore generally cannot be returned merely because the customer:

  • changed their mind;

  • dislikes the aroma;

  • selected the incorrect product;

  • no longer requires the product; or

  • wishes to exchange it.

This does not automatically remove statutory rights concerning a genuine inherent defect.

17. Expiry & Shelf-Life Products

Where a product has a stated:

  • expiry date;

  • use-by date;

  • best-before date; or

  • shelf life,

the customer is responsible for observing that information and following applicable storage instructions.

The statutory defective-goods period does not automatically extend the natural or expressly stated life of a consumable product.

Claims may be declined where deterioration resulted from:

  • use after expiry;

  • incorrect storage;

  • excessive heat;

  • inappropriate freezing;

  • sunlight exposure;

  • oxidation;

  • contamination;

  • damaged seals after receipt;

  • unsuitable packaging; or

  • improper handling.

VAPE HARDWARE & COMMERCIAL FILLING

18. Nature of Vape Hardware

Vape cartridges, disposables, pods and related hardware are precision mass-manufactured components.

Their performance can be affected by factors outside Terp Topia's control, including:

  • oil viscosity;

  • formulation composition;

  • terpene concentration;

  • filling temperature;

  • fill volume;

  • filling equipment;

  • capping procedure;

  • soak time;

  • storage;

  • voltage;

  • power settings; and

  • final application.

Customers are responsible for determining that hardware is suitable for their intended formulation and commercial process.

19. Mandatory Bulk Pre-Production Testing

Customers purchasing vape cartridges, disposables, pods or similar filling hardware in bulk must conduct a pre-production validation test using a minimum of 5% of the supplied order before filling the complete batch.

Examples:

  • 100 units → test at least 5 units;

  • 200 units → test at least 10 units;

  • 500 units → test at least 25 units;

  • 1,000 units → test at least 50 units.

Any fraction must be rounded up to the next complete unit.

This validation is intended to confirm compatibility between the customer's:

  • formulation;

  • hardware;

  • filling method;

  • capping process;

  • storage procedure; and

  • intended operating conditions.

20. Stop-Fill Requirement

If the initial 5% validation batch shows:

  • leaking;

  • clogging;

  • poor wicking;

  • abnormal heating;

  • activation failure;

  • inconsistent performance;

  • seal failure; or

  • another abnormal result,

the customer must stop filling the remaining units and contact Terp Topia.

Customers should retain:

  • failed test units;

  • unused units from the same batch;

  • relevant packaging;

  • batch numbers;

  • formulation information;

  • photographs or video; and

  • filling records.

This allows us to investigate the problem before further product loss occurs.

21. Filling the Entire Batch Without Testing

Where a commercial customer fills an entire bulk hardware order without first conducting the required minimum 5% validation test, determining the cause of subsequent problems may become significantly more difficult.

Terp Topia cannot accept responsibility for avoidable bulk formulation loss that could reasonably have been identified during the required validation process, except where applicable law requires otherwise.

A hardware defect and consequential loss of a customer's filling material are not automatically the same claim.

The customer remains responsible for implementing reasonable production controls designed to minimise foreseeable losses.

22. Validation Records

Commercial customers should record, where relevant:

  • hardware model;

  • order number;

  • hardware batch or lot;

  • units tested;

  • formulation;

  • terpene percentage;

  • approximate viscosity;

  • fill volume;

  • fill temperature;

  • capping procedure;

  • rest or soak time;

  • operating voltage;

  • number passed;

  • number failed; and

  • failure type.

Terp Topia may request this information when investigating a bulk hardware claim.

23. Control Samples

Commercial customers are strongly encouraged to retain unused units from every manufacturing batch as control samples until the production run has been completed successfully.

Terp Topia may request one or more unused units from the affected batch when investigating a technical claim.

Comparison between filled and unused units can assist in identifying whether a problem relates to:

  • manufacture;

  • filling;

  • formulation;

  • storage; or

  • operation.

24. Filled & Used Vape Products

Once a cartridge, pod, mouthpiece or disposable device has been:

  • filled;

  • activated;

  • used;

  • placed in the mouth;

  • contaminated; or

  • materially altered,

it will generally not qualify for an ordinary change-of-mind return.

A product alleged to have a manufacturing defect may still be assessed.

All such claims remain subject to inspection and testing.

25. Commercial Hardware Overage

For qualifying full-box or wholesale hardware orders, Terp Topia may supply approximately 1–2% additional units as a commercial overage to assist customers with occasional isolated manufacturing failures.

Specific conditions may apply to these orders.

Customers should retain allegedly defective units for assessment where requested.

The provision of additional units does not remove statutory rights where those rights apply.

PRODUCT USE & FORMULATION

26. Concentrated Ingredients

Terpenes are highly concentrated ingredients.

Unless a particular product is expressly supplied for direct use, concentrated terpenes should not be used undiluted.

Customers are responsible for ensuring that concentrations used in finished formulations are suitable for the intended application.

27. Application Guidance

Any formulation percentage, calculator, mixing guide or suggested usage range provided by Terp Topia is intended as general formulation guidance.

Final suitability depends on factors including:

  • ingredients;

  • formulation;

  • application;

  • manufacturing process;

  • consumer population;

  • packaging;

  • storage;

  • applicable law; and

  • relevant safety requirements.

The manufacturer of the finished product remains responsible for validating the finished formulation.

28. No Medical Claims

Unless expressly registered or lawfully authorised for a medical purpose, Terp Topia products are not supplied as medicines.

Information concerning:

  • aroma;

  • flavour;

  • terpene characteristics;

  • commonly reported effects; or

  • scientific research

must not be interpreted as a claim that the product diagnoses, treats, cures or prevents any disease.

29. Inhalation & Vaporisation

The suitability of an ingredient for food or flavour use does not automatically establish its safety for inhalation.

Customers manufacturing products intended for inhalation or vaporisation remain responsible for evaluating:

  • ingredients;

  • concentrations;

  • device compatibility;

  • emissions;

  • thermal degradation;

  • applicable regulation; and

  • final-product safety.

Terp Topia does not represent that an ingredient is approved for inhalation merely because it has a food, flavour or fragrance use status.

30. Customer Product Responsibility

Customers manufacturing or reselling finished products containing Terp Topia ingredients are responsible for:

  • final formulation;

  • product testing;

  • applicable labelling;

  • regulatory compliance;

  • stability;

  • packaging;

  • compatibility;

  • production controls;

  • batch records;

  • consumer warnings; and

  • determining whether the finished product is suitable and lawful for its intended market.

INTELLECTUAL PROPERTY & CONFIDENTIALITY

31. Terp Topia Intellectual Property

Unless expressly stated otherwise, all intellectual property associated with Terp Topia remains the property of Terp Topia or its respective licensors.

This includes, where applicable:

  • trademarks;

  • logos;

  • photographs;

  • product renders;

  • graphics;

  • formulations;

  • blend designs;

  • educational content;

  • mixing guides;

  • product descriptions;

  • technical documentation;

  • software;

  • calculators;

  • website content;

  • packaging designs; and

  • other proprietary material.

Purchasing a product does not transfer ownership of Terp Topia's intellectual property.

32. Confidential Information

Information supplied by Terp Topia and reasonably identifiable as confidential may include:

  • proprietary formulations;

  • recipes;

  • blend ratios;

  • manufacturing procedures;

  • product designs;

  • drawings;

  • technical information;

  • processes;

  • supplier information;

  • pricing arrangements;

  • commercial terms; and

  • trade secrets.

Customers receiving confidential information must take reasonable measures to protect it and may not disclose or exploit it without authorisation.

33. Reverse Engineering

To the extent permitted by applicable law and subject to any rights that cannot lawfully be excluded, customers may not purchase Terp Topia proprietary products primarily for the purpose of:

  • reverse engineering proprietary formulations;

  • reproducing confidential Terp Topia blends;

  • obtaining protected confidential information;

  • copying proprietary product designs; or

  • commercially exploiting Terp Topia trade secrets.

Nothing in this clause is intended to prohibit legitimate product testing, regulatory compliance testing, safety analysis or any activity protected by applicable law.

WEBSITE USE

34. Website Information

Terp Topia makes reasonable efforts to keep website information accurate.

However:

  • product photographs may differ slightly from final packaging;

  • labels may be updated;

  • specifications may change;

  • natural products may display normal batch variation; and

  • errors may occasionally occur.

We reserve the right to correct errors and update information.

35. Availability

We do not guarantee that the website will be available continuously or without error.

We may temporarily suspend parts of the website for:

  • maintenance;

  • security;

  • upgrades;

  • technical failures; or

  • circumstances outside our control.

36. Prohibited Website Use

You may not use the website:

  • unlawfully;

  • fraudulently;

  • to interfere with its security;

  • to introduce malicious software;

  • to impersonate another person;

  • to obtain unauthorised access;

  • to scrape or reproduce proprietary content unlawfully; or

  • in a way that may damage Terp Topia or other users.

PRIVACY

37. Personal Information

Terp Topia processes personal information in accordance with our Privacy Policy and applicable South African data-protection legislation, including the Protection of Personal Information Act 4 of 2013 (POPIA).

Information may be processed for purposes including:

  • fulfilling orders;

  • processing payments;

  • delivering products;

  • customer support;

  • maintaining records;

  • preventing fraud;

  • fulfilling legal obligations; and

  • permitted marketing activities.

38. Third-Party Service Providers

We may use third parties including:

  • Shopify;

  • payment providers;

  • courier companies;

  • accounting platforms;

  • hosting providers;

  • analytics providers;

  • marketing systems; and

  • other technology providers.

Information may be shared with those providers where reasonably necessary to provide their services, subject to our Privacy Policy and applicable law.

LIABILITY

39. Improper Use

To the extent permitted by law, Terp Topia will not be responsible for loss caused by a customer's:

  • improper use;

  • unlawful use;

  • incorrect formulation;

  • failure to follow instructions;

  • incorrect storage;

  • incompatible ingredients;

  • incorrect filling;

  • unauthorised modification;

  • commercial production error; or

  • use outside the product's intended specifications.

40. Consequential & Production Loss

For commercial customers, formulation ingredients placed into vape hardware may have substantially greater value than the individual hardware unit.

Customers are therefore responsible for following reasonable production controls, including the minimum 5% validation procedure described above.

To the maximum extent permitted by applicable law, Terp Topia will not be responsible for avoidable losses arising from a customer proceeding with full commercial production despite:

  • failing to perform required validation;

  • identifying failures during testing and continuing production;

  • using incompatible formulation;

  • incorrect filling;

  • improper capping;

  • inappropriate storage; or

  • disregarding supplied instructions.

Nothing in this clause excludes liability that cannot lawfully be excluded.

41. Limitation of Liability

To the maximum extent permitted by applicable law, Terp Topia will not be liable for indirect, incidental or consequential loss arising from improper or unauthorised use of our products.

Where liability cannot lawfully be excluded, these Terms do not attempt to exclude it.

Nothing in these Terms excludes liability arising from conduct that cannot legally be excluded or limited.

42. Indemnity

To the extent permitted by applicable law, a customer who manufactures, modifies, combines, resells or uses Terp Topia products in a finished product is responsible for claims resulting from that customer's:

  • unlawful conduct;

  • negligent formulation;

  • incorrect labelling;

  • manufacturing failures;

  • regulatory non-compliance;

  • false representations;

  • misuse; or

  • unauthorised modification.

This provision does not require a customer to indemnify Terp Topia for losses caused solely by Terp Topia's own unlawful conduct, gross negligence or conduct for which liability cannot legally be excluded.

INTERNATIONAL & REGULATORY COMPLIANCE

43. International Orders

International customers are responsible for confirming that ordered products may lawfully be:

  • imported;

  • possessed;

  • transported;

  • formulated;

  • resold; and

  • used

in the destination jurisdiction.

Customers are responsible for applicable:

  • import duties;

  • customs charges;

  • taxes;

  • licences;

  • permits; and

  • clearance fees

unless otherwise agreed in writing.

44. Local Legal Compliance

The availability of a product on the Terp Topia website does not necessarily mean that the product or every possible use of it is legal in every jurisdiction.

Customers are responsible for complying with laws applicable to their own intended use.

CANCELLATIONS & ONLINE TRANSACTIONS

45. Electronic Transactions

Orders placed through the website constitute electronic transactions.

Where applicable, consumers may have rights under the Electronic Communications and Transactions Act 25 of 2002 (ECTA).

Where the statutory cooling-off right applies, it will be honoured.

Certain transactions and goods are excluded from the ECTA cooling-off provisions, including in appropriate circumstances goods that:

  • are made to customer specifications;

  • are clearly personalised;

  • by their nature cannot be returned; or

  • deteriorate or expire rapidly.

These provisions do not remove separate rights relating to defective goods.

46. Cancellation Before Dispatch

Customers wishing to cancel an order should contact Terp Topia as soon as possible.

Where an order has not yet been:

  • fulfilled;

  • manufactured;

  • blended;

  • customised;

  • labelled;

  • specially sourced; or

  • dispatched,

we will endeavour to cancel the order.

Cancellation may no longer be possible once fulfilment or custom production has begun.

FORCE MAJEURE

47. Events Beyond Our Control

Terp Topia will not be responsible for failure or delay caused by events reasonably beyond our control, including:

  • natural disasters;

  • floods;

  • fires;

  • severe weather;

  • power outages;

  • infrastructure failures;

  • transport disruption;

  • strikes;

  • civil unrest;

  • epidemics or pandemics;

  • governmental restrictions;

  • carrier disruptions;

  • telecommunications failures; or

  • supply-chain interruptions.

This provision applies only to the extent permitted by law.

GOVERNING LAW & DISPUTES

48. Governing Law

These Terms and all transactions with Terp Topia are governed by the laws of the Republic of South Africa.

49. Disputes

Customers should first contact Terp Topia so that we have a reasonable opportunity to investigate and resolve a complaint.

Nothing in these Terms prevents a consumer from exercising rights available through an appropriate regulator, consumer protection body, ombud, tribunal or South African court.

Where court proceedings are required, jurisdiction will be determined in accordance with applicable South African law.

GENERAL TERMS

50. Changes to These Terms

Terp Topia may update these Terms from time to time to reflect changes in:

  • law;

  • products;

  • services;

  • website functionality; or

  • business operations.

Changes apply prospectively unless applicable law provides otherwise.

The latest version will be published on our website.

51. No Waiver

Failure by Terp Topia to enforce a provision of these Terms on one occasion does not constitute a permanent waiver of that provision.

52. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be interpreted or limited to the minimum extent necessary while the remaining provisions remain in effect.

53. Assignment

Customers may not transfer contractual rights or obligations arising under these Terms without Terp Topia's prior written consent where such consent is legally permissible.

Terp Topia may transfer rights or obligations as part of a lawful business transfer, restructuring or similar transaction, subject to applicable law.

54. Entire Agreement

These Terms together with the documents incorporated into them — including the Shipping, Returns & Refund Policy and Privacy Policy — constitute the agreement governing purchases through the Terp Topia website, subject to:

  • separately agreed written commercial terms;

  • quotations;

  • supply agreements;

  • credit agreements; and

  • rights imposed by applicable law.

55. Notices
